UNLESS OTHERWISE EXPRESSED, ALL-STAR AFFILIATES LLC EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

Assignment. This User Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by All-Star Affiliates without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.

Entire Agreement/Severability. This Agreement, together with the WhatGiftShouldIGet Privacy Policy shall constitute the entire agreement between you and WhatGiftShouldIGet. If any provision of this Agreement is deemed invalid, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement will remain in full force and effect.

No Waiver. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and WhatGiftShouldIGet’s failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.

If any provision of the Agreement is found to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of any of the remaining provisions will not in any way be affected or impaired and a valid, legal, and enforceable provision of similar intent and economic impact will be substituted therefore. WhatGiftShouldIGet’s failure to require or enforce strict performance of any provision or to exercise any right under the Agreement shall not be construed as a waiver of any such provision or right. The headings appearing at the beginning of each section are for identification and reference purposes only and shall not be used to determine the construction or interpretation of the Agreement.
